Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Doug Walseth, doing business as Walseth AI ("Walseth AI," "we," "us," or "our") through walseth.ai and related products, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Description of Services

Walseth AI provides AI governance services and software surfaces, including:

• AI Governance Baseline Sprint engagements
• Ongoing AI Governance Monitor engagements
• Autonomous maintenance or supervised execution engagements when separately agreed in writing
• Free repo scan and related scan/report surfaces
• Governance reports, scanning, and remediation materials
• Related content, documentation, and resources

3. Autonomous Execution Boundaries

Some Walseth AI services may generate recommendations, patches, pull requests, workflow changes, or supervised autonomous maintenance actions. Unless an applicable pilot agreement, statement of work, or written order expressly says otherwise, you remain responsible for reviewing and deciding whether to apply any change to your repositories, infrastructure, or production systems.

Walseth AI does not guarantee uninterrupted service, bug-free output, production uptime, incident prevention, or a specific compliance outcome. Governance work is bounded operational support, not a warranty that every defect, outage, or legal issue will be prevented.

4. User Responsibilities

You agree to use our services only for lawful purposes and in accordance with these terms. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree not to:

• Use the services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the services
• Interfere with or disrupt the integrity or performance of the services
• Use the services to transmit malicious code or harmful content
• Reverse engineer, decompile, or disassemble any part of the services

5. Customer Data and Repository Handling

You retain ownership of any repository content, data, credentials, prompts, or materials you submit or make available for analysis. You are responsible for ensuring you have the right to share them. Walseth AI will use those materials only to provide the requested services, improve service delivery, maintain audit trails, and satisfy legal or security obligations.

If a pilot or service requires access to private repositories or internal systems, do not provide secrets, personal data, or regulated data that are not necessary for the agreed work. Any written pilot agreement or statement of work controls over these general terms for that engagement.

6. SMS Operational Alerts

If you explicitly enable SMS operational alerts for your own Walseth AI system, you agree to receive recurring automated text messages about blockers, decision requests, queue status, and continuity or recovery events.

• Message frequency varies based on system activity.
• Message and data rates may apply.
• You can reply STOP to opt out or HELP for help.
• These texts are for owner/operator operational use, not marketing.

7. Intellectual Property

All content, features, and functionality of our services -- including software, text, graphics, logos, and documentation -- are owned by Doug Walseth d/b/a Walseth AI or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our proprietary materials without prior written consent.

You retain ownership of any data, code, or content you submit to our services for analysis. We do not claim ownership of your materials.

8. Payment and Billing

Certain services require payment. By purchasing a service, you agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with reasonable notice.

9. Limitation of Liability

To the maximum extent permitted by law, Doug Walseth d/b/a Walseth AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services.

Our services provide governance analysis and recommendations. They do not constitute legal advice. You are responsible for your own compliance and deployment decisions. Our total liability for any claim arising from these terms shall not exceed the fees you paid us for the specific service, order, or pilot that gave rise to the claim in the twelve months preceding the event giving rise to liability.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the services will be uninterrupted, error-free, or that any defects will be corrected. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

We may suspend or terminate your access to our services at any time, with or without cause, upon reasonable notice. You may discontinue use of our services at any time. Upon termination, your right to use the services ceases immediately. Sections relating to intellectual property, limitation of liability, and governing law survive termination.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the services after changes are posted constitutes acceptance of the revised terms.

13. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Delaware.
